Terms of Service

1. These Terms set forth the conditions for using the software-as-a-service (SaaS) and other services provided by the Company (collectively, the "Service").

2. Customers shall use the Service only after agreeing to these Terms, and use of the Service shall be deemed agreement to these Terms.

3. Any service-specific additional terms separately established by the Company for the Service form part of these Terms. In the event of any conflict between these Terms and the service-specific additional terms, the service-specific additional terms shall prevail.

In these Terms, the following terms shall have the meanings set forth below.

• (1) "Customer" means a corporation or individual that has agreed to these Terms and entered into a service agreement with the Company for the Service.
• (2) "Service Agreement" means the agreement concerning use of the Service entered into between the Company and the Customer under these Terms.
• (3) "User" means a user of the Service designated by the Customer.
• (4) "Customer Data" means data input, transmitted, or stored in the Service by the Customer or a User.

1. The Customer shall register an account by providing accurate and up-to-date information in the manner prescribed by the Company.

2. The Customer is responsible for appropriately managing its own account information (including passwords) and shall not allow third parties to use it, or lend, transfer, rename, or trade it.

3. The Company bears no responsibility for damages arising from inadequate management of account information or use by third parties.

4. The Customer is obligated to ensure Users comply with these Terms and bears full responsibility for the actions of its Users.

1. The Customer shall pay the usage fees set by the Company using the payment method the Company designates. Usage fees are as stated on each service page, plus applicable consumption tax.

2. For monthly billed services, the fee for the current month is charged on the start date of the contract period and automatically billed on the same date each subsequent month.

3. If the Customer delays payment of usage fees, the Company may charge the Customer a late-payment penalty at an annual rate of 14.6%.

4. The Company may change usage fees by giving the Customer at least 30 days' prior notice.

The Customer shall not engage in any of the following acts when using the Service.

• (1) Acts that violate laws or public order and morals
• (2) Acts that infringe the intellectual property rights, privacy rights, or other rights of the Company or third parties
• (3) Reverse engineering, decompiling, or disassembling the Service
• (4) Placing an excessive load on the Service's servers or network, or otherwise interfering with the operation of the Service
• (5) Reselling, redistributing, or sublicensing the Service
• (6) Attempting unauthorized access, intrusion into other Users' accounts, or circumvention of security features
• (7) Registering false information
• (8) Any other act the Company deems inappropriate

1. Copyrights, patent rights, trademark rights, and all other intellectual property rights related to the Service belong to the Company or to third parties holding legitimate rights.

2. Intellectual property rights in Customer Data belong to the Customer. The Customer grants the Company a non-exclusive right to use Customer Data to the extent necessary to provide the Service.

3. The service agreement under these Terms grants the Customer a right to use the Service and does not constitute a transfer of intellectual property rights.

1. The Company will appropriately manage Customer Data and will not use it for purposes other than performance of the service agreement, except where required by law.

2. The Company may anonymize and aggregate Customer Data for use in improving the Service and developing new features.

3. After termination of the service agreement, the Company will retain Customer Data for a reasonable period (up to 90 days) and then delete it. The Customer shall export its data before the agreement terminates.

4. The handling of personal information is governed by the Company'sPrivacy Policy.

1. The Company may suspend all or part of the Service without prior notice to the Customer in the following cases.

• (1) When performing system maintenance, inspection, or updates
• (2) When providing the Service becomes difficult due to force majeure such as earthquake, lightning, fire, or power outage
• (3) When the Company otherwise determines that suspending the Service is necessary

2. The Company may change the content of the Service or terminate its provision by giving the Customer at least 30 days' prior notice.

3. The Company bears no responsibility for any damages incurred by the Customer as a result of suspension, modification, or termination of the Service under this Article.

1. The Company makes no warranty, express or implied, that the Service will be suitable for the Customer's specific purposes, will have the expected functionality, accuracy, or usefulness, or will be free of defects.

2. Even where the Company is liable for damages to the Customer, such liability shall be limited to the total amount of usage fees paid by the Customer to the Company in the preceding 12 months.

3. The Company bears no liability whatsoever, regardless of foreseeability, for lost profits, loss of business opportunity, loss of data, indirect damages, special damages, or punitive damages.

1. The Customer may cancel the service agreement at any time via the admin console.

2. Following a cancellation request, provision of the Service ends at the end of the current month. No prorated refunds will be issued.

3. The Company may terminate the service agreement without notice if the Customer falls under any of the following.

• (1) Violation of any provision of these Terms
• (2) Delay in payment of usage fees for two months or more
• (3) Filing for commencement of bankruptcy proceedings, civil rehabilitation proceedings, or similar
• (4) Any other case the Company determines makes continuation of the service agreement difficult

1. The Company and the Customer shall not disclose or leak to third parties any confidential information of the other party learned in connection with the service agreement, without the other party's prior written consent.

2. The obligation in the preceding paragraph survives for three years after termination of the service agreement.

1. These Terms are governed by and construed in accordance with the laws of Japan.

2. The Tokyo District Court shall have exclusive jurisdiction as the court of first instance over any disputes relating to these Terms or the Service.

1. The Company may change these Terms where doing so serves Customers' general interest or where the change is reasonable.

2. When changing these Terms, the Company will publish the content of the revised Terms and their effective date on this website by the effective date.
